EVENT ADMISSION TERMS, CODE OF CONDUCT AND CANCELLATION POLICY

Please read these terms carefully. By attending or participating in the Event, you agree to comply with these Event Admission Terms, Code of Conduct and Cancellation Policy (the “Event Terms”), together with any venue rules and instructions communicated by the Organizer, Leap, The Shed, security personnel, or authorized staff.

1. Scope of these Event Terms

These Event Terms apply to admission to, attendance at, and participation in the Black Mirror Experience New York event (the “Event”). They do not replace the terms and conditions of the Leap ticketing platform, the Privacy Policy of Venue Experiences S.L., the Privacy Policy of Leap, the venue rules of The Shed, or any separate privacy and consent information provided by Univrs for AI, virtual reality and biometric or voice-related features.

If there is a conflict between these Event Terms and another document, the more specific terms will prevail in relation to their subject matter. In particular, Leap’s terms will govern the use of the Leap ticketing platform and the purchase, delivery, support and management of tickets through that platform; The Shed rules will govern venue access, safety and security; and the Univrs notices will govern AI, VR, biometric and voice-related processing where applicable.

2. Ticket purchases through Leap

Tickets for the Event are processed through the Leap platform. The purchase, possession and use of tickets may be subject to the Leap terms and policies presented to the purchaser during the checkout process, including terms relating to payment processing, ticket delivery, account access, support, refunds, chargebacks, fraud prevention, resale restrictions and platform security.

The Organizer is responsible for the Event and these Event Terms. Leap is responsible for the ticketing platform and its own services, terms, notices and policies. Nothing in these Event Terms limits any rights that a ticket purchaser may have against the Organizer, Leap or any other party under applicable mandatory law.

The Organizer should confirm with Leap the final consumer-facing purchase terms that will be displayed and accepted during checkout. The link provided by Leap to its “Terms & Conditions” may refer to standard ticketing terms applicable between Leap and event organizers/clients and should not be used as the sole consumer-facing ticket purchase terms unless Leap confirms that it is the applicable checkout document.

3. Prices, taxes, fees and payment

Ticket prices, taxes, mandatory fees and any other required charges must be displayed to purchasers in the checkout flow before purchase. The total price payable for each ticket should be presented clearly and prominently before payment is completed.

Payments are processed through Leap and/or its payment providers. The Organizer does not request or store full card numbers, CVV codes or complete payment credentials for ticket purchases unless expressly stated otherwise in the applicable privacy notice.

Optional products, services, upgrades, insurance, refund protection or add-ons, if any, may be subject to separate terms, prices and cancellation rules disclosed at the time of purchase.

4. Ticket validity and admission

• Tickets are valid only for the date, time slot, ticket type and session stated on the ticket and/or in the confirmation email.
• Each ticket permits one entry only and may be validated, scanned or checked by Leap, the Organizer, The Shed or authorized staff.
• Duplicated, altered, damaged, cancelled, refunded, fraudulently obtained or previously scanned tickets may be refused without refund.
• The Organizer and The Shed may require proof of ticket purchase, valid identification, age confirmation, accessibility information, or any other information reasonably necessary for access control, security, fraud prevention or operational purposes.
• Late arrivals may be refused admission or admitted at a later time only if operationally possible. No refund or exchange is guaranteed for late arrival, missed sessions, incorrect ticket selection, travel delays, double bookings or personal scheduling conflicts.
• Tickets must not be used for unauthorized commercial, advertising, promotional, sweepstakes, contest, auction, hospitality, resale or package purposes without the Organizer’s prior written authorization.

5. Age requirements and capacity to purchase

The Event is intended for participants aged fourteen (14) and older, unless a different age restriction is stated on the Event page, at checkout, on the ticket, or in venue communications. Individuals under the age of fourteen (14) will not be admitted to the Event. Participants between the ages of seven (7) and seventeen (17) may be required to attend with, or to present written consent from, a parent or legal guardian; participants between the ages of fourteen (1) and seventeen (17)who attend without a parent or legal guardian must present prior written consent from their parent or legal guardian at the time of admission. The Organizer reserves the right to require proof of age at admission. Ticket purchasers must have legal capacity to complete the purchase or must be acting with the authorization of a parent or legal guardian.

The Organizer may refuse admission where age requirements, parental or guardian requirements, or safety requirements are not met.

6. The Shed venue rules and security

The Event takes place at The Shed, 545 West 30th Street, New York, NY 10001. Admission to and presence at the venue are subject to the rules, policies, instructions and security procedures of The Shed, as well as the instructions of the Organizer, security personnel and authorized staff.

Attendees may be subject to security screening, bag inspection, access control checks and other reasonable measures required for venue safety, capacity management, emergency response, attendee flow, accessibility and operational management. The decision to refuse admission or remove any person from the venue rests with The Shed, as the entity responsible for venue security at the Event. Such decisions shall be final and binding on the attendee and will not give rise to any right to a refund, to the fullest extent permitted by law.

The Shed’s current public website, privacy policy and accessibility information are available at https://www.theshed.org/, https://www.theshed.org/privacy-policy and https://www.theshed.org/accessibility. The Organizer should insert the final URL to any venue-specific FAQ, house rules or rental/event rules provided by The Shed before publication.

The Organizer and The Shed are committed to complying with the accessibility requirements of Title III of the Americans with Disabilities Act (42 U.S.C. §§ 12181 et seq.), its implementing regulations (28 C.F.R. Part 36), and the New York Human Rights Law (N.Y. Executive Law Article 15). This includes providing accessible seating, accessible routes, and auxiliary aids and services to individuals with disabilities. No individual shall be discriminated against on the basis of disability in the full and equal enjoyment of the goods, services, facilities, privileges, advantages, or accommodations of any place of public accommodation. Attendees with accessibility needs should contact the Organizer as early as possible before the Event. The Organizer should also insert the final URL to The Shed’s accessibility page prior to publication.

7. Code of conduct

All attendees must behave respectfully and safely toward other attendees, staff, artists, performers, contractors, venue personnel and members of the public. The following conduct is prohibited:

• violent, threatening, abusive, harassing, discriminatory, obscene, defamatory, disruptive or unsafe language or behavior;
• interference with the Event, other attendees, staff instructions, safety systems, equipment, props, sets, technology, VR equipment, microphones, cameras, sensors or venue facilities;
• unauthorized access to restricted areas, staff-only areas, backstage areas, technical areas or emergency exits except in an emergency;
• use or possession of weapons, explosives, illegal drugs, hazardous items or any other items prohibited by The Shed, the Organizer or applicable law;
• No smoking or vaping is permitted inside the venue;
• No food or beverages will be allowed in The Black Mirror Experience;
• recording, livestreaming, photographing or filming the Event, sets, VR/AI experience, technical systems or other attendees where prohibited by signage, staff instructions, intellectual property restrictions, privacy rules or safety requirements;
• attempting to resell, transfer, counterfeit, duplicate, alter or misuse tickets in breach of these Event Terms, Leap’s terms, or applicable law;
• any act that may damage the venue, equipment, intellectual property, reputation or rights of the Organizer, The Shed, Leap, Univrs, licensors, partners or third parties.

Breach of this Code of Conduct may result in refusal of admission or The decision to refuse admission or remove any person from the venue on grounds of conduct shall be made by The Shed, as the entity responsible for venue security at the Event, and shall be final.

8. Health, safety and immersive experience requirements

The Event may involve immersive environments, virtual reality, artificial intelligence, audio-visual effects, lighting effects, enclosed or low-light spaces, movement through physical sets, and/or interaction with technology. Participants must follow all safety instructions provided before and during the Event.

Participants should not take part, or should request assistance before taking part, if they have a medical, accessibility, mobility, sensory, neurological, pregnancy-related, anxiety-related or other condition that may be affected by immersive or virtual reality experiences. Participants should stop participating and notify staff immediately if they feel unwell, dizzy, disoriented, anxious, nauseous or unsafe.

The Organizer may impose operational restrictions for safety reasons, including group size, time slots, equipment use, accessibility routing, session sequencing, minimum/maximum participation requirements and staff-guided instructions.

9. Accessibility

The Organizer and The Shed aim to support accessibility requests where reasonably possible and in accordance with applicable law and venue capabilities. Attendees requiring accessibility accommodations, step-free access, seating assistance, captioning, audio description, sensory information, or other support should contact the Organizer as early as possible before the Event.

The Shed publishes accessibility information at https://www.theshed.org/accessibility. Providing captioning, audio assistance, sensory information or other support is the responsibility of the Organizer. Please let The Shed know as soon as possible if captioning, audio assistance, sensory information or other support will be provided. The Organizer should include the final customer support email and any specific accessibility procedure for this Event before publication.

10. AI, virtual reality, biometric data and voice features

The Event may include a standalone AI and/or virtual reality experience involving facial image processing, voice recording, 3D avatar creation, voice cloning and/or other biometric, audio-visual or AI-based features. These features are not governed by these Event Terms except as to attendance, conduct and safety.

The Organizer should insert the final link to the Univrs AI/VR/biometric notice and consent materials once available.

To the extent the Event involves the collection, retention, conversion, storage, or sharing of biometric identifier information (including, without limitation, facial geometry scans, voiceprints, or other biometric characteristics) at a commercial establishment in New York City, the Organizer and/or The Shed will comply with the applicable requirements of New York City Local Law No. 3 of 2021 (NYC Admin. Code §§ 22-1201 through 22-1205), including by posting a clear and conspicuous notice near all customer entrances to The Shed notifying attendees in plain, simple language that biometric identifier information is being collected, retained, converted, stored, or shared, as applicable. The Organizer and Univrs will not sell, lease, trade, or share biometric identifier information in exchange for anything of value. Attendees who believe that biometric identifier information has been collected, used, or shared in violation of applicable law may contact the Organizer at [INSERT CUSTOMER SUPPORT EMAIL].

11. Photography, filming and publicity

The Organizer, The Shed, licensors, partners, press or authorized contractors may conduct photography, filming, audio recording or other capture of the venue and Event for operational, security, archival, promotional, press, social media or similar purposes, subject to applicable notices and privacy requirements. Attendees will be informed where legally required, including through signage, notices, staff communications or separate consent requests where appropriate.

Attendees may not photograph, film, livestream, record or otherwise capture the Event, sets, technology, VR/AI materials, staff, performers or other attendees where prohibited by signage, staff instructions, intellectual property restrictions, privacy obligations, safety rules or these Event Terms.

12. Cancellation, rescheduling, exchanges and refunds

12.1 General rule

Unless otherwise stated in the checkout flow or required by applicable law, all sales are final. Tickets are non-refundable and non-exchangeable after purchase, except in the circumstances expressly described in these Event Terms, the applicable Leap checkout terms, or any mandatory consumer protection rules. In particular, and without limitation: (i) in accordance with Section 23.08 of the New York Arts and Cultural Affairs Law, each purchaser of an advance ticket retains a property interest in the portion of any advance payment deposit equal to the amount paid for their ticket and is entitled to a refund if the Event is cancelled or materially rescheduled, except as provided in Section 12.3 of these Event Terms and subject to the applicable statutory exceptions; and (ii) nothing in this Section 12.1 limits any right to a refund or other remedy that cannot be excluded under applicable mandatory law.

12.2 Missed sessions and late arrivals

No refund or exchange is guaranteed if an attendee misses their session, arrives late, selects the wrong date or time slot, is unable to attend for personal reasons, has a travel delay, experiences a scheduling conflict, or fails to comply with age, safety, venue, ticketing or conduct requirements.

12.3 Event cancellation or material rescheduling

If the Event or a specific session is cancelled by the Organizer and not rescheduled, eligible purchasers will be entitled to a refund of the ticket price (excluding any non-refundable fees or add-ons as disclosed at checkout) in accordance with the refund procedure communicated by the Organizer and/or Leap, and as required by applicable law including Section 23.08 of the New York Arts and Cultural Affairs Law. If the Event or session is materially rescheduled: (i) the Organizer will offer each affected purchaser the right to use their ticket for the rescheduled performance or to exchange their ticket for a ticket comparable in price and location to another similar event, or a refund, in accordance with applicable law; and (ii) if the rescheduling was caused by an Act of God,war, riot, or other catastrophe for which the Organizer is not responsible, and each affectedpurchaser is given the right to use their ticket for the rescheduled performance or to exchange it for a comparable ticket to another similar event, a refund may not be available solely on account of the rescheduling, to the extent permitted by N.Y. Arts and Cultural Affairs Law § 23.08(3)(ii). The Organizer may offer a credit, replacement, or other remedy in lieu of a refund where permitted by applicable law and communicated clearly to affected purchasers.

12.4 Processing of refunds

Refunds, where available, will ordinarily be processed through Leap and returned to the original payment method used at purchase, unless otherwise communicated. The timing of refunds may depend on Leap, payment processors, banks, card networks and other providers. Fees, taxes, optional add-ons, insurance or refund protection may be refundable or non-refundable depending on the applicable checkout terms, law and the circumstances of cancellation or rescheduling.

12.5 Force majeure and operational changes

The Organizer may modify, suspend, postpone, reschedule or cancel the Event or any session due to circumstances beyond its reasonable control, including but not limited to venue issues, safety concerns, public authority orders, emergencies, severe weather, technical failures, labor disruptions, illness, security incidents, acts of God, utility failures, supply chain issues, or other force majeure events. Remedies, if any, will be communicated to affected purchasers and provided to the extent required by applicable law. Any remedies available to purchasers in connection with a force majeure event or operational change will be provided in accordance with the requirements of applicable law, including the New York Arts and Cultural Affairs Law, and nothing in this Section 12.5 shall exclude or limit any right to a refund, exchange, or other remedy that cannot be waived or excluded under applicable mandatory consumer protection law.

13A. COMPLIANCE WITH NEW YORK TICKETING LAW

To the extent required by the New York Arts and Cultural Affairs Law (including Sections 23.08 and 23.23 thereof), the Organizer and/or Leap, as applicable, shall: (i) file the required ticket distributor registration with the New York State Department of Law prior to the sale of tickets to any event to be held in the State of New York; and (ii) ensure that advance ticket payments are held in accordance with the escrow or bonding requirements of Section 23.08 of the New York Arts and Cultural Affairs Law, or that an applicable exemption applies. Purchasers of advance tickets will be informed of the applicable advance payment protections in the checkout flow. Nothing in these Event Terms shall limit any right that a purchaser may have under applicable New York ticketing law.

14. Changes to the Event

The Organizer reserves the right to make reasonable operational, artistic, technical, scheduling, staffing, routing, accessibility, safety, content or venue-related changes to the Event. Such changes will not entitle attendees to a refund unless they amount to a cancellation or material rescheduling for which a refund is required under these Event Terms, the applicable checkout terms or mandatory law.

15. Intellectual property

All intellectual property rights in and to the Event, including names, titles, trademarks, logos, designs, scripts, audiovisual content, sets, props, technology, software, images, sounds, characters, storylines, know-how and related materials, are owned or licensed by the Organizer, licensors, The Shed, Univrs, Leap or other rights holders. No rights are granted to attendees except the limited right to attend and participate in the Event in accordance with the ticket purchased and these Event Terms.

Unauthorized copying, recording, reproduction, distribution, publication, commercial use, reverse engineering, extraction, scraping or exploitation of the Event or any related content or technology is strictly prohibited.

16. Privacy

Personal data associated with ticket purchases, ticket management, Event access, customer service, security, operational communications and legal compliance will be processed in accordance with the Venue Experiences S.L. Privacy Policy and, where applicable, the Leap Privacy Policy and The Shed Privacy Policy. Personal data associated with AI, VR, biometric and voice-related features will be governed by the separate privacy notice and consent materials provided by Univrs or the party responsible for that processing.

17. Customer support and communications

For ticket purchase, ticket delivery, ticket account, payment, refund processing or checkout issues, attendees should contact Leap through the support channels provided in the confirmation email, the ticketing platform or the checkout flow.

18. Limitation of liability

Nothing in these Event Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, willful misconduct, gross negligence where it cannot be excluded, personal injury caused by negligence, or any rights that cannot be waived under applicable consumer protection, ticketing, venue, accessibility or other mandatory laws.

Subject to the preceding paragraph, the Organizer shall not be liable for indirect, incidental, consequential, special, exemplary or punitive damages arising from attendance at or inability to attend the Event, except to the extent required by applicable law. Attendees are responsible for their own travel, accommodation, subsistence and incidental costs, unless otherwise required by applicable law or expressly agreed by the Organizer in writing.19. Governing law and disputes

These Event Terms are intended to govern admission to and attendance at an event taking place in New York. To the extent they regulate on-site admission, venue conduct, security, safety and participation in the Event, they shall be interpreted in accordance with the laws applicable in New York, without prejudice to any mandatory consumer protection, data protection, accessibility or other rules that may apply to the Organizer, Leap, The Shed, Univrs or the attendee. In any event, and regardless of the applicable governing law: (i) mandatory rules of the State of New York relating to consumer protection (including N.Y. General Business Law Article 22-A), ticketing (including the New York Arts and Cultural Affairs Law), accessibility (including the New York Human Rights Law and the New York City Human Rights Law), and data protection (including the New York SHIELD Act) shall apply to the extent required by law; (ii) federal mandatory rules including Title III of the Americans with Disabilities Act shall apply to the Event and The Shed as a place of public accommodation; and (iii) the legal notice and website terms of Venue Experiences S.L. are governed by Spanish law, without prejudice to the above mandatory rules. Attendees who are consumers may also bring proceedings in the courts of their place of domicile or in any other jurisdiction required by applicable mandatory law.

Disputes relating to the Leap ticketing platform, payment processing, ticket purchase process, ticket account or Leap services may be subject to the separate Leap terms accepted by the purchaser during checkout. Disputes relating to privacy, AI/VR/biometric processing or venue rules may also be governed by the applicable privacy notice, consent form or venue policy.

20. Updates

The Organizer may update these Event Terms to reflect operational, legal, technical or business changes. The version in force at the time of purchase or attendance, as applicable, will govern unless an updated version is required by law or communicated to affected attendees.
